1. Definitions

  • Employer: Entity posting, promoting, or sponsoring job listings via PostWave.
  • Community Partner: Online organization, moderator, or group operating a platform or forum, participating in promotion and distribution of job listings under this Agreement.
  • Applicant: Individual browsing job listings, registering interest, or applying to roles.
  • Network Promotion: Fixed-fee promotion for Employers across multiple communities at a standard rate.
  • Sponsorship: Booked, targeted promotion in a specific community, potentially including newsletter shares, site embeds, and social media posts.
  • Data Processing Agreement (DPA): A binding agreement regarding the handling of personal data between platform users and/or third parties.

2. Account Creation and Profile Requirements

Employer

  • Must register with a valid email/password or approved social login.
  • Provide accurate company name, logo, and public bio, which may be used in marketing materials and directories unless otherwise withdrawn by written notice, subject to the Intellectual Property section below.
  • Remain responsible for all actions performed under their account credentials.
  • Employers must confirm, for each job post, that they have conducted lawful right-to-work checks for all appointments and commit to compliance with UK employment law. PostWave reserves the right to request evidence of right-to-work compliance upon reasonable request and to remove or suspend job posts or access for non-compliance.

Community Partners

  • Must create a Community Profile (name, logo/image, platform details, member count, interests, engagement metrics) and keep it accurate and current.
  • Profile details are public and may be used in directories or marketing, subject to the Intellectual Property section below. Earnings data is confidential.
  • Must notify PostWave of significant business details changes within ten (10) business days and provide appropriate privacy notice to their members regarding PostWave-related data processing.
  • Community Partners acknowledge they are independent entities responsible for their own employment law and tax compliance. Nothing in this agreement creates, or is intended to create, an employment or agency relationship unless expressly and separately documented.

Applicants

  • Must be at least eighteen (18) years old and legally capable.
  • Register using a valid email address or approved social login, providing accurate name and job interests. Responsible for account confidentiality and security.

3. Service Usage and Promotion Models

Employers

  • May purchase credits through Stripe (in USD, exclusive of taxes) to buy Network Promotions or Sponsorships.
  • Credits expire after twelve (24) months unless otherwise specified; users will be notified by email at least 30 days before expiry. Unused credits may be fully refunded upon written request within thirty (30) days of purchase. Pro-rata or partial refunds for expired credits may be offered at PostWave’s discretion where required by law.
  • Job posts are public unless specifically marked private; listed on PostWave and eligible for external sharing.
  • Employers are solely responsible for the content of job listings, which must not discriminate directly or indirectly on the basis of race, age, disability, sex, gender reassignment, marital status, pregnancy or maternity, religion, sexual orientation, or any other protected status under the Equality Act 2010.

Communities

  • May promote job listings under fixed-fee (Network Promotion) or booked Sponsorship models.
  • Agreed promotional benefits (e.g., newsletter, site embed, social sharing) must be delivered within thirty (30) days of booking and verified by objective evidence (e.g., analytics, system logs, links, or screenshots).
  • PostWave may retain payment in escrow until objective verification is furnished. Non-delivery may result in non-payment, refund to Employers, and suspension or termination of Community Partner account.
  • Must provide proof of delivery within five (5) days of fulfillment; PostWave will review within seven (7) business days.
  • Communities must not host, publish, or distribute material that is discriminatory, unlawful, misleading, or otherwise violates the rights of third parties. Community moderation and compliance reviews may be required at PostWave’s discretion.
  • Communities participating in revenue share or commission must ensure appropriate tax documentation and are solely responsible for compliance with applicable laws.

Applicants

  • May browse available job listings and express interest in positions; applications are redirected to employer-specified external sites or email. 
  • PostWave does not process direct job applications nor act as an employment/recruitment agent.
  • Applicants are cautioned to verify the legitimacy of external employer sites before submitting sensitive or personal data. Fraudulent job posts or detected scams should be promptly reported to PostWave for investigation and action.

4. Payments, Commissions, Payouts

Employers

  • Network Promotions: Paid per posting; PostWave retains a 10% platform fee; transaction fee of 4% applies; communities earn 20% commission if referred by them; remaining funds distributed by applicant proportion.
  • Sponsorship: Pricing is variable; PostWave takes 20% on direct referral, or 10% if community-referred; transaction fee of 4% applies.
  • Stripe payments are subject to PCI DSS v4.0 standards. PostWave and its payment partners maintain ongoing PCI DSS compliance; users must not attempt to bypass platform payment flows.

Communities

  • Earnings paid monthly via third-party processor (e.g., Tremendous), selectable payout options include bank transfer, gift cards, Visa cards, etc.
  • Minimum payout threshold applies; emergency cases handled as specified in the platform.
  • PostWave is not liable for delays or payout failures caused solely by third-party processors (e.g., Tremendous), but will provide reasonable assistance to resolve or escalate issues and, where possible, offer alternative payout options. Tremendous’ Know Your Customer (KYC) and Anti-Money Laundering (AML) requirements apply; communities must comply with these to receive payment.
  • Communities responsible for their own tax compliance, reporting, and documentation; no taxes withheld by PostWave.

5. Data Protection, Privacy, and Intellectual Property

  • All parties must comply with UK GDPR, Data Protection Act 2018, and applicable privacy laws.
  • Each Community Partner, Employer, and Applicant is subject to the Data Processing Agreement (DPA).
  • PostWave acts as data controller for user, employer, and partner accounts; employers/communities are controllers for content and candidate data arising from their activities.
  • Data may be shared as necessary for recruitment, promotion, or applicant tracking. Communities must issue appropriate privacy notices to their members for any PostWave-related data processing or disclosures.
  • If users process special category data (e.g., health or diversity data), additional safeguards and consents are required. Rights and responsibilities under the DPA apply to all personal data collected or processed through platform use.
  • Content submitted by Employers and Communities remains their property; licensing to PostWave and partnering platforms is non-exclusive and revocable upon written notice except as required by law or for dispute resolution. Any withdrawal or limitation of such license must be communicated in writing and becomes effective within 15 business days of notice. Intellectual property and withdrawal provisions survive termination for only as long as reasonably required for ongoing campaigns or legal compliance.

6. Content Standards, Non-Circumvention, and Liability

  • All submitted content must be lawful, accurate, nondiscriminatory, not misleading, and comply with Equality Act 2010 and relevant anti-discrimination laws. All job posts must include an equal opportunity statement. PostWave reserves the right to review, edit, suspend or remove content which, in its reasonable opinion, does not meet these standards.
  • No party may contract directly with those introduced via PostWave for a period of 12 months following the most recent campaign, subject to exceptions for pre-existing documented relationships. This non-circumvention clause is intended as a good faith agreement and may not prevent legitimate independent business relationships as permitted by law.
  • Indemnities exist for breach, fraud, misrepresentation, compliance failures, and technical faults, subject to written notice, mitigation, and limits outlined in this Agreement.
  • Liability caps: For Employers/Communities, maximum liability is the higher of the total amount paid in the last 12 months or £1,000; for Applicants, claims capped at £100. Liability caps do not apply to death or personal injury caused by negligence, data breach penalties imposed by regulators (including GDPR), fraud, or willful misconduct. PostWave assumes no liability for damages resulting from third-party payment providers or employer behavior outside its platform.

7. Platform Rules, Confidentiality, Dispute Resolution, and Termination

  • All parties must comply with PostWave policies, standards, and applicable laws, including anti-fraud, non-spam, anti-harassment, and fair use.
  • Confidential information includes account, payout, earnings, and internal platform communications; public profiles may be used for marketing unless withdrawn by written notice.
  • PostWave may suspend or terminate user accounts in the event of significant policy or legal breach, failure to provide requested documentation, or credible evidence of unlawful, discriminatory, or fraudulent conduct. Accounts that are suspended and/or terminated will be notified.
  • Parties may terminate this agreement for cause or material breach with written notice.
  • All disputes will be resolved first through mediation, then subject to the courts of England and Wales; governing law is English law.
  • Force majeure applies for natural disasters, cyber events, payment processor outages, or regulatory restrictions.
  • Entire Agreement: This document supersedes all prior discussions, proposals, and arrangements among Employers, Communities, and Applicants regarding platform activities.

8. Applicant-Specific Notices

PostWave is not responsible for third-party employer sites, job outcomes, security, or privacy practices external to our platform. Applicants are encouraged to report fraudulent or suspicious job posts to PostWave; such complaints will be investigated and the platform reserves the right to remove or block offending employers.

By clicking Signup, joining via a social login provider, or using any part of the Platform, you affirm that you have the authority and capacity to enter this Agreement, and that you have read and accepted all applicable Terms. Any updates to these Terms will be notified to users by email or dashboard notification at least 15 days before changes become effective; material changes will be highlighted. Continued use after updates constitutes acceptance.
